SERVICE TERMS · VERSION 2026-10-23
Clear terms for your workspace.
These terms apply when an authorised person accepts them to create a Brighter Management company workspace. The customer is the person or business identified at signup. These terms, the plan selected at checkout, the subscription terms and any separately agreed written scope describe the service. We do not treat an existing customer as having accepted a new agreement merely by publishing this page.
1. The service and your account
BM provides hosted business software for customer records, orders, delivery planning, driver work, service jobs, documents and invoicing. Features depend on configuration and plan allowances. We grant authorised users access for your business while your account remains active. You keep ownership of your data; we keep ownership of the software and branding. You give us permission to host, process, back up and transmit your data as needed to provide and support your chosen service.
You must have authority to act for the business, provide accurate details, protect sign-in credentials and manage team access. Each office user should have their own account. Share driver PINs only with the assigned person and remove access promptly when someone leaves. Tell us promptly about suspected unauthorised access.
2. Acceptable use and customer responsibilities
Use BM lawfully and within the published allowances. Do not access another company’s records, interfere with security or availability, send unsolicited commercial messages, upload malicious or infringing material, or use the service for unlawful surveillance. You are responsible for lawful collection and use of information you upload, required customer and worker notices, the accuracy of records, recipient addresses and permission to send documents.
Check quotes, delivered quantities, invoices, tax settings and reports before relying on them. BM reports assist record keeping; they are not tax advice, BAS lodgement, payroll or a replacement for your accountant’s review. Do not use BM as an emergency, life-safety or safety-critical control system.
3. Plans, fees and cancellations
Free requires no payment card and does not automatically convert to paid. Paid subscriptions renew monthly until cancelled. Prices, GST, allowances, renewal dates, cancellation, payment failures and refunds are described in the subscription terms and checkout. Assisted onboarding and custom development require an agreed scope and quote. A feature request is not a commitment to build it for free or by a particular date.
Unlimited monthly orders on Scale means no monthly order-count cap. It does not mean unlimited staff, customers, email throughput or storage. We do not impose automatic overage fees. If use needs additional capacity, we will discuss options and agree any charges before applying them.
4. Integrations and business documents
You choose whether to connect third-party services and authorise the correct account and organisation. Their own terms, fees and availability also apply. Xero draft creation needs completed setup, appropriate mappings and the company’s automatic-draft setting. Exceptions may need office review. BM does not automatically approve or email Xero drafts. Selecting Xero invoicing disables issuing BM sales invoices for that company to reduce duplicate invoicing.
A saved delivery and a sent email are separate events. Queues, receiving mail servers and incorrect addresses can delay or prevent delivery. A “Delivered” email status means acceptance by the receiving mail server, not that the recipient read it. Check the Email outbox for exceptions. A driver draft is not a confirmed completion until the server saves it.
5. Privacy, security and your data
The Privacy Policy explains personal-information handling. Our security information describes current controls and limitations. We use reasonable safeguards and will investigate reported security incidents. No online service can promise that loss, interruption or unauthorised access will never occur. Keep appropriate copies of critical records and protect the devices and mailboxes used with BM.
You may export available reports and documents or request an assisted export. Cancellation of a subscription, closure of a workspace and deletion are separate actions. See data and support for the current process. We will verify authority before supplying or deleting company information.
6. Support, maintenance and changes
Contact us by email or phone for support. Self-service plans do not include a guaranteed response time, 24-hour support, uptime percentage or recovery deadline. We prioritise security and access problems and aim to give practical updates. If you need particular support or recovery commitments, agree them in writing before relying on them.
We may make fixes and improvements and perform necessary maintenance. We will give reasonable notice of planned material disruption where practicable. Emergency security work may require immediate action. We will not materially reduce paid core functionality or increase a recurring price during a paid period. For a proposed material adverse change, we will explain it in advance and give you an opportunity to cancel before it takes effect. A change requiring agreement will be presented for acceptance; existing acceptance records will not be rewritten.
7. Suspension and ending the service
We may restrict affected access where reasonably necessary to address a security risk, unlawful activity, serious misuse or non-payment under the subscription terms. Restrictions will be proportionate. Where lawful and practicable, we will explain the reason and how to resolve it, and restore access when resolved. We will not delete customer records merely for inactivity or failed renewal. If we discontinue your service, we will give reasonable notice and an export opportunity where lawful and practicable, and refund prepaid fees for service we do not supply.
8. Your rights and disputes
Nothing in these terms excludes, restricts or modifies a right, guarantee or remedy that cannot lawfully be excluded, including under the Australian Consumer Law. Refunds, repair, re-supply or other remedies may apply depending on the circumstances. Contact us about any problem so we can investigate and work towards a resolution. These terms do not impose a blanket exclusion of liability or an indemnity for our own fault.
New South Wales law applies, subject to mandatory laws and consumer rights that apply to you. The parties may use courts with lawful jurisdiction; this does not remove your right to approach a relevant regulator or tribunal. A separately signed agreement may specify additional services and commitments.
